Terms of Service

1. Agreement; Eligibility

These Terms of Service (these “Terms”) are a binding agreement between you and CaseRace, Inc., a Delaware corporation (“CaseRace,” “we,” “us,” or “our”). They govern your access to and use of caserace.io and related applications, content, and services (collectively, the “Service”).

By creating an account, clicking to accept these Terms, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You may use the Service only if you are at least 13 years old and legally able to enter into these Terms.

2. The Service; Educational Use Only

CaseRace provides interactive medical case-study materials designed to help learners practice clinical reasoning and test themselves. CaseRace uses generative AI in creating and supporting case materials. Certain materials are designated by CaseRace as core platform offerings and are reviewed and approved by qualified professionals; materials that are not so designated may not have undergone that review.

THE SERVICE IS FOR EDUCATIONAL PURPOSES ONLY. IT DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, TREATMENT, OR A SUBSTITUTE FOR PROFESSIONAL JUDGMENT, SUPERVISION, OR APPLICABLE CLINICAL PROTOCOLS. CASE MATERIALS, AI-GENERATED CONTENT, AND FEEDBACK MAY BE INCOMPLETE, INCORRECT, OR OUT OF DATE. DO NOT USE THEM FOR PATIENT CARE OR AS THE SOLE BASIS FOR ANY CLINICAL DECISION. You are responsible for independently verifying information and following the requirements of your educational program and applicable law.

3. Accounts and Acceptable Use

You must provide accurate, current account information, keep your credentials confidential, and promptly notify us at info@caserace.io of any unauthorized use of your account. Your account is personal to you; do not share it or permit another person to use it.

You may use the Service only lawfully and in accordance with these Terms. You may not:

• use the Service contrary to your institution’s policies or agreements;
• upload, enter, or submit protected health information, patient-identifying information, or other personal information that you are not authorized to provide;
• use the Service to infringe, misappropriate, or violate another person’s rights;
• copy, scrape, reverse engineer, interfere with, or attempt to bypass the Service or its security;
• use the Service to develop, benchmark, or train a competing product, or use automated means to access the Service without our written consent; or
• submit malware, harmful code, or unlawful, abusive, or otherwise objectionable content.

We may investigate violations and suspend or terminate access if we reasonably believe you have violated these Terms, created risk for us or others, or are using the Service improperly.

4. User-Created Materials

You may create prompts, case studies, questions, answer explanations, annotations, and other materials in your account (collectively, “User Materials”). As between you and CaseRace, you retain ownership of your User Materials, subject to any rights that your institution, employer, or another third party may have.

You represent and warrant that you have all rights, permissions, and consents necessary to submit User Materials and grant the license below.

You grant CaseRace and its affiliates, service providers, successors, and assigns a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, fully paid-up, royalty-free license to host, store, reproduce, modify, adapt, translate, create derivative works from, analyze, use, distribute, display, perform, publish, commercialize, and otherwise exploit User Materials, in any media and for any purpose, including operating, maintaining, improving, training, developing, marketing, and commercializing the Service and other products and services.

This license survives deletion of User Materials or termination of your account. To the extent permitted by law, you waive and agree not to assert any moral rights or similar rights in User Materials against CaseRace or its sublicensees.

5. CaseRace Property; Feedback

The Service and all CaseRace-created case studies, software, designs, text, graphics, content, AI systems, and other materials are owned by CaseRace or its licensors and protected by law.

Subject to these Terms, CaseRace grants you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service for your own educational purposes. No other rights are granted.

If you provide ideas, suggestions, or feedback, you grant CaseRace a worldwide, perpetual, irrevocable, sublicensable, royalty-free right to use it without restriction or compensation.

6. AI Features

The Service uses generative AI. AI outputs and suggestions may be inaccurate, incomplete, or unsuitable for your circumstances and are not independently guaranteed by CaseRace.

You must use appropriate judgment and may not represent AI-generated materials as independently authored, clinically validated, or approved by CaseRace unless CaseRace has expressly stated so.

7. Privacy; Student Performance

Our Privacy Policy explains how we collect and use personal information. We may use Service and performance data for analytics, insights, product operation, research and development, and product improvement.

However, CaseRace will not disclose identifiable information about your individual performance or progress to your school, institution, instructor, or other educational program without your express permission. This does not limit disclosures required by law, disclosures necessary to protect rights or safety, or disclosures to service providers acting on our behalf under appropriate confidentiality obligations. We may use and share de-identified or aggregated insights that do not identify you.

8. Changes, Suspension, and Termination

We may modify, suspend, or discontinue any part of the Service. We may update these Terms by posting revised Terms and changing the Effective Date. Your continued use after the effective date means you accept the revised Terms.

You may stop using the Service at any time. We may suspend or terminate your access as permitted by these Terms. Sections that by their nature should survive will survive termination, including Sections 4, 5, 7, 9, 10, 11, and 12.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” CASERACE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE SERVICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CASERACE AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION.

CASERACE’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) $100; OR (B) THE AMOUNTS YOU PAID CASERACE FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

11. Indemnification

You will defend, indemnify, and hold harmless CaseRace and its affiliates, officers, directors, employees, contractors, licensors, and service providers from claims, damages, liabilities, and expenses, including reasonable attorneys’ fees, arising from your User Materials, your breach of these Terms, or your misuse of the Service.

12. Governing Law; General

These Terms are governed by Delaware law, without regard to conflict-of-laws rules. Except where prohibited by law, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising from these Terms or the Service, and you consent to their jurisdiction and venue.

These Terms and the Privacy Policy are the entire agreement between you and CaseRace regarding the Service. If any provision is unenforceable, the remaining provisions remain in effect. CaseRace may assign these Terms; you may not assign them without our written consent. A waiver must be in writing.
